Terms of Service
The rules for using our website, apps and services, and what each side is responsible for.

Agreeing to these terms
These terms are an agreement between you and Neato Ventures, LLC, a Texas limited liability company (“Neato Ventures,” “we,” “us”). By using our website or services, or by creating an account, you agree to them. If you use the services for a company or other organization, you agree on its behalf and confirm you have authority to do so, and “you” means that organization.
If you signed an order form, quote or other written agreement with us, that document controls where it conflicts with these terms. Our Privacy Policy explains how we handle personal information.
You must be at least 18 years old to create an account.
The services
These terms cover:
- neatoventures.com;
- Neato_Frontline, an AI voice agent that answers and places phone calls and can send text messages;
- Neato_Council, an AI persona that joins online meetings;
- Neato_Prompt, a prompt-writing app at neatoprompt.com;
- custom AI software and consulting work we deliver; and
- Neato Orbit, Neato Glass-AR and other hardware, together with any terms that ship with the device.
We change and improve the services over time. Features marked beta, preview or coming soon may change or be removed, and are provided as they are.
Accounts
- Give accurate information when you sign up and keep it current.
- Keep your password and API keys secret. You are responsible for everything done under your account, including by people you invite.
- Tell us right away at privacy@neatoventures.com if you think your account has been accessed without permission.
Acceptable use
You will not use the services to:
- break any law or regulation, or help someone else do so;
- make robocalls, send texts, or place calls that violate the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, Do Not Call rules, carrier rules, or state equivalents;
- stand in for emergency services. The services cannot call 911 or reach emergency responders and must not be relied on in an emergency;
- deceive, harass, threaten, or impersonate a person or organization;
- collect or store protected health information, payment card numbers, government ID numbers, or other sensitive data the services are not built to protect;
- send spam, malware, or content you do not have the right to use;
- make decisions about someone's credit, employment, housing, insurance or legal rights using AI output alone;
- probe, scan or test the security of the services, get around usage limits, or access another customer's data;
- copy, resell, or reverse engineer the services, or use them to build a competing product; or
- overload or disrupt the services or the networks they run on.
Calls, texts and recording
When you use Neato_Frontline or Neato_Council to talk with other people, you are the business responsible for those conversations. You are responsible for:
- Consent to call and text. Getting and keeping records of any consent the TCPA and other laws require before calling or texting anyone, and honoring opt-outs. Recipients must opt in through an initial opt-in text before receiving messages, and every message program must support STOP and HELP.
- Recording consent. Call recording is off by default. If you turn it on, you must give callers any notice and get any consent the law requires. Some US states require every party to consent. You can set a greeting that announces the recording.
- AI disclosure. Telling callers and meeting participants they are speaking with an AI where the law requires it. You can set the agent to disclose this.
- Meeting participants. Telling participants that an AI persona is attending and that the meeting is recorded, and having permission to bring it into the meeting.
- Your callers' data. Having a lawful basis and any required privacy notice for the personal information you collect through the services. We process it on your behalf.
Neato_Frontline is not HIPAA compliant, and we do not sign business associate agreements at this time.
AI output
Our services use AI models from providers such as Google, OpenAI and Anthropic. AI output can be wrong, incomplete, or inappropriate, and can sound confident when it is wrong. An AI agent may mishear a caller, give an answer that is not in your instructions, or miss a request.
- You are responsible for reviewing output before relying on it or sharing it.
- You are responsible for your agents' instructions, knowledge and settings, and for testing them before going live.
- Output is not legal, medical, financial or other professional advice.
- Similar inputs can produce the same or similar output for other users. Output may not be unique to you.
Your data
You own the data you and your callers, customers and meeting participants put into the services, and the output generated for you (“Your Data”). This includes call recordings, transcripts, meeting notes, documents, and prompts.
You give us permission to host, copy, process, transmit and display Your Data only as needed to provide, secure and support the services, and as the law requires. We do not sell Your Data, and we do not train AI models on it. The AI providers that process Your Data do so under their own data-use terms.
You decide how long Your Data is kept. You can delete much of it in the product, and you can ask us to export or delete the rest by emailing privacy@neatoventures.com.
If you send us feedback or suggestions, we may use them without any obligation to you.
Fees and payment
- Fees are as listed on our pricing pages or as agreed in your order form or quote. Subscriptions are billed in advance, monthly or yearly, through Stripe.
- Subscriptions renew automatically until you cancel. Cancellation takes effect at the end of the current billing period.
- Usage beyond your plan's included allowances, such as call minutes or meeting hours, may be billed as described in your plan or order.
- Fees do not include taxes. You pay any applicable taxes other than taxes on our income.
- Except where the law or your order says otherwise, fees are non-refundable.
- If a payment fails or is overdue, we may suspend the services after telling you. We may change prices with at least 30 days' notice, taking effect at your next renewal.
Intellectual property
Neato Ventures owns the services, including the software, website, designs, and the Neato Ventures, Neato_Frontline, Neato_Council, Neato_Prompt, Neato Orbit and Neato Glass-AR names and logos. We give you a limited, non-exclusive, non-transferable right to use the services during your subscription, under these terms. We keep all rights we do not expressly give you.
Third-party services
The services rely on and connect to services we do not control, including Twilio, Google, OpenAI, Anthropic, MeetingBaaS, Stripe, Zoom, Google Meet, Microsoft Teams, and the calendars and systems you connect. Their terms apply to your use of them. We are not responsible for their availability, changes, or actions. If a provider changes or ends a service we rely on, we may change the affected feature.
Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED ORDER, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, NEATO VENTURES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY CALL OR MEETING WILL CONNECT, OR THAT AI OUTPUT WILL BE ACCURATE.
Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NEATO VENTURES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, INCLUDING MISSED CALLS OR BOOKINGS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100.
Some jurisdictions do not allow these limits, so some may not apply to you.
Indemnity
You will defend and indemnify Neato Ventures and its members, employees and contractors against claims, fines, penalties, losses and costs (including reasonable attorneys' fees) arising from: your use of the services; Your Data; your calls, texts, recordings and meetings, including claims under the TCPA, call-recording or AI-disclosure laws; or your breach of these terms or the law.
Suspension and termination
- You can stop using the services and cancel your subscription at any time.
- We may suspend or end your access if you break these terms, fail to pay, create legal or security risk, or if a carrier or provider requires it. Where practical, we will tell you first and give you a chance to fix the problem.
- After termination, your right to use the services ends. You can ask us to export Your Data before we delete it.
- Sections that by their nature should survive termination do so, including Your Data, fees owed, intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
Governing law and venue
Texas law governs these terms, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the services will be brought only in the state or federal courts located in Montgomery County, Texas, and both parties consent to those courts' jurisdiction.
Changes to these terms
We may update these terms. The date at the top shows the latest version. If a change is material, we will notify account holders by email or in the product at least 30 days before it takes effect. Continuing to use the services after that date means you accept the new terms.
